Arvind Fashions Ltd To Acquire Flipkart’s Stake In Arvind Youth Brands For ₹135 Crore

Arvind Fashions Ltd (AFL) on Monday announced that it will acquire the Flipkart Group’s 31.25% stake in Arvind Youth Brands Pvt Ltd (AYBPL) for a consideration of ₹135 crore.

Arvind Youth Brands Pvt Ltd operates in the wholesale and retail apparel and accessories segment under the popular brand ‘Flying Machine’. For the financial year ended March 31, 2025, AYBPL reported a turnover of ₹432.16 crore, according to a regulatory filing by the company.

Over the past five years, Flying Machine has successfully re-established itself as a strong digital-first brand. Its partnership with the Flipkart Group played a key role in positioning Flying Machine among the leading casualwear brands on digital platforms, catering to India’s fashion-conscious youth, the company said in a separate filing.

Commenting on the development, Amisha Jain, Managing Director & CEO, Arvind Fashions Ltd, stated that the relationship with the Flipkart Group will continue, ensuring that consumers can continue shopping Flying Machine on Flipkart’s platforms. The brand will also remain available across other digital channels and online portals.

Under the transaction, AFL will acquire 31.25% of AYBPL’s total shareholding on a fully diluted basis, comprising one equity share of ₹10 each and 58,95,852 Compulsorily Convertible Preference Shares (CCPS) of ₹100 each. The transaction is expected to be completed by December 29, 2025.

Following the completion of the acquisition, Arvind Youth Brands Pvt Ltd will become a wholly owned subsidiary of Arvind Fashions Ltd, the company added.
